Board of Directors' Report on the UTUIA Constitution

Delegates to the 2007 UTUIA Grand Convention:

President Thompson submitted constitutional amendments to the General Secretary & Treasurer and the UTUIA Board of Directors for consideration at the Grand Convention of UTUIA to be held on August 18, 2007. This letter is the Board’s report to you on the proposed amendments, as is required by the constitution.

President Thompson’s submitted changes are the result of a long process that began in 2006. We determined that in order to comply with requirements of insurance regulators, in order to improve corporate governance and in order to take steps to assure the future of UTUIA, the constitution needed major changes. President Thompson directed staff and counsel to draft amendments for consideration and the drafts were edited and reviewed with Officers, Board members and the Ohio Department of Insurance. Changes were made based on comments from the Board and the Department regulators. The Officers and Board of UTUIA unanimously support the proposed constitutional  amendments discussed in this report.

In addition to reading the Board’s report, please take the time to read the enclosed proposed amendments to the UTUIA constitution in their entirety. This report will also be posted to the UTUIA web site for review by members and others interested parties. Enclosed you will also find a copy of the current constitution with amendments indicated and what the new constitution would look like, if the amendments discussed herein are adopted.
